Item 11.00: Remuneration Policy
Folketrygdfondet voted against the remuneration policy due to insufficient disclosure and weak alignment between pay and long-term performance. The policy does not provide sufficiently clear disclosure of short- and long-term incentive performance metrics, lacks meaningful payout limits for long-term incentives, and does not include performance measures relative to peer companies. In addition, the absence of share ownership guidelines and other structural safeguards increases the risk of short-term incentive behaviour. We believe the framework grants excessive discretion to the Board and does not meet our expectations for transparency, accountability, and alignment with long-term shareholder value creation.
