Lundin Energy AB

At the Lundin Energy general meeting on 31 March 2022, Folketrygdfondet, manager of the Government Pension Fund Norway, voted against item 19 for the following reasons:

Item 19. Resolution in respect of extraordinary remuneration to the Chairman of the Board of Directors and other members of the Board of Directors for work carried out in 2021

The Lundin Energy nomination committee has proposed extraordinary remuneration to the chair of the board of directors of USD 195.000 and USD 93.000 to members owing to additional work related to “assessing the potential impact of the Swedish Prosecution Authority's preliminary investigation and charges that were brought on 11 November 2021”, preparing the company’s bond issuance, and in negotiating the combination proposal with Aker BP. Acknowledging the additional time commitment required, these activities are nevertheless intrinsic to the board of directors’ responsibilities. For this reason, Folketrygdfondet voted against item 19.
