We vote against the remuneration report due to concerns regarding the overall design of the long-term incentive program, including the absence of performance-based metrics and a vesting structure that does not sufficiently support long-term alignment with shareholder interests.
11.00 Authority to Issue Shares w/ or w/o Preemptive Rights (Incentive Program)
We vote against this proposal as the authorization may be used as an anti-takeover mechanism. This could limit shareholders’ ability to realise value in a takeover situation.
