At the Epiroc AB general meeting 8 May 2025, Folketrygdfondet, manager of the Government Pension Fund Norway, voted against item 08.02.04, 08.04, 12.01, 13.02 and 13.04 for the following reasons:

Item 08.02.04: Elect Helena Hedblom

Folketrygdfondet opposes the election of the CEO to the board of directors as a matter of principle. One of the board’s main tasks is the supervision of company management, which includes appointment and dismissal of the CEO. Folketrygdfondet considers that board members can only supervise company management adequately if they are not recruited from among management. For this reason, we voted against this item.

Item 08.04: Remuneration Report 

Folketrygdfondet’s decision to vote against the executive Remuneration Report is based on a cumulative assessment. The report provides insufficient disclosure to assess how — and lacks reasoning to explain why — the executive remuneration strategy aligns with shareholder interests. Therefore, we voted against this item.

Item 12.01: Remuneration Policy

Folketrygdfondet’s decision to vote against the executive Remuneration Policy is based on a cumulative assessment taking into consideration that the policy provides insufficient disclosure to assess how and lack of reasoning to explain the rationale for if and to what extent the executive remuneration strategy aligns with shareholder interests. For this reason, we voted against this item.

Item 13.02: Authority to Repurchase Shares

Folketrygdfondet’s decision to vote against the Authority to Repurchase Shares is based on a cumulative assessment taking into consideration that the Authority to Repurchase Shares does not align with shareholder interests. For this reason, we voted against this item.

Item 13.04: Authority to Issue Treasury Shares

Folketrygdfondet’s decision to vote against the Authority to Issue Treasury Shares is based on a cumulative assessment taking into consideration that the Authority to Issue Treasury Shares does not align with shareholder interests. For this reason, we voted against this item.
